By accessing, browsing, or using the Site or our services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree with these Terms, you must not use the Site or the Services.

ShepherDog reserves the right to restrict access to any part or all of the Site or Services at our discretion.

- AI-powered product data optimization
- Integration with platforms such as Commercetools
- Product attribute enrichment
- Structured data and SEO improvement
- Automation of digital workflows
All engagements, including scope, duration, and fees, are governed by separate contracts or proposals executed between you and ShepherDog.

Account Registration and Security
You may be required to register for an account to access certain Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to notify us immediately at info@shepherdog.com of any unauthorized use of your account or any other security breach.

Intellectual Property
All content and materials on the Site—including but not limited to software, code, text, graphics, logos, design elements, interfaces, images, and data—are the property of ShepherDog or its licensors and are protected under U.S. and international intellectual property laws.

Payment and Fees
All fees are quoted and payable in U.S. Dollars unless otherwise stated in writing. Payment terms are defined in each client engagement and/or invoice.
Failure to pay may result in suspension or termination of Services. Late payments may incur additional charges or interest, as allowed by law.
You are responsible for all applicable taxes associated with your purchase or use of the Services, excluding taxes based on our income.

Warranties and Disclaimers
6.1 No Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
We do not warrant that the Services will be error-free, uninterrupted, secure, or produce specific results.

ShepherDog may integrate with or link to third-party platforms. We are not responsible for the availability, content, policies, or practices of any third-party site or service.

Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SHEPHERDOG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO SHEPHERDOG FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

Indemnification
You agree to indemnify, defend, and hold harmless ShepherDog and its officers, directors, employees, agents, affiliates, licensors, and suppliers from and against any and all third-party claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with:
- Your use or misuse of the Services;
- Your violation of these Terms;
- Your violation of any applicable law or rights of a third party.

Data Privacy and Security
Use of our Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using our Services, you consent to our collection, use, and disclosure of your information as described therein.
ShepherDog implements industry-standard security measures; however, we cannot guarantee that unauthorized third parties will never be able to defeat those measures.
10.
Termination
We may terminate or suspend your access to the Site or Services, without notice or liability, if we believe you have violated these Terms or applicable law, or if your actions may cause harm to us or other users.
Upon termination:
- Your right to access the Services will cease;
- All outstanding payment obligations will become due immediately;
- Certain provisions of these Terms (including, but not limited to, Sections 4, 6, 7, 8, 10, 11, and 12) shall survive termination.

Force Majeure
ShepherDog shall not be held liable for delays or failure in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, labor shortages, supply chain disruptions, governmental actions, or power outages.
12.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any legal suit, action, or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Wilmington, Delaware, and you consent to the personal jurisdiction and venue of such courts.
13.
Dispute Resolution and Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be resolved first through good-faith negotiations. If unresolved, such disputes shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware and the proceedings shall be conducted in English.

Changes to the Terms
We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the new version on our Site and updating the date at the top of this page. Your continued use of the Site or Services after any changes become effective constitutes your acceptance of the new Terms.
15.
Entire Agreement
These Terms, along with our Privacy Policy and any executed agreements with you, constitute the entire agreement between you and ShepherDog with respect to the Services and supersede all prior or contemporaneous communications.
